5. 💳 Payments & Invoicing
a. Quotes & Proposals
Each project will be quoted and shared with the client for review and approval before work begins.
b. Payment Structure
Payments may be collected as:
- 💰 Full upfront (for small projects)
- 💰 50/50 split (before and after)
- 💰 Milestone-based (for larger contracts)
Payment must be made via approved methods (credit/debit card, PayPal, bank transfer, etc.).
c. Late Payments
Invoices not paid within 5 days of issuance may result in service delay or cancellation.
6. 💸 Refunds & Cancellations
a. Refunds
- Deposits are non-refundable once work has started.
- If the client cancels mid-project, a partial refund may be issued based on the work completed.
- Refunds are not applicable for completed and delivered services unless stated in writing.
b. Cancellations
- Projects can be canceled by written notice.
- We reserve the right to cancel a project for non-payment, lack of response, or abusive conduct.
7. 📁 Intellectual Property
- All code, designs, and digital assets remain the property of PRIMEPEAK LLC until full payment is received.
- After payment, rights to use and modify are transferred to the client, unless stated otherwise in a license agreement.
- We retain the right to showcase non-confidential work in our portfolio unless prohibited by NDA.
8. 📉 Limitation of Liability
We shall not be held liable for:
- Downtime, bugs, or loss of data caused by third-party software or platforms
- Indirect, incidental, or consequential damages resulting from the use or inability to use our services
- Delays caused by client-side issues (incomplete info, lack of communication)
Our liability shall not exceed the total amount paid for services.
9. 🌍 Jurisdiction & Governing Law
This agreement shall be governed by the laws of the State of California, United States, without regard to its conflict of law principles.
In the event of disputes, both parties agree to resolve the matter through negotiation first, then arbitration or court (if needed) in Riverside County, California.

You agree to indemnify and hold harmless PRIMEPEAK LLC, its owners, agents, and affiliates from any claims, damages, or legal expenses arising from:
